Not sure if they are interacting. It could also be an overlap.

With overlap do you mean that the superposition is only apparent? Maybe could be... But if it is not? If they are two nuclei really interacting and merging would be... like a Kant sublime.

IMHO, the superposition is only apparent. The orange galaxy is, likely, far in the background of the nice spiral. However, without spectra of each it's not definitive (only the spiral has an SDSS spectrum, and NED doesn't mention any spectrum from any other published astronomical source).
You'll certainly come across 'interacting/merging' nuclei if you hang around long enough! 😃 And over in Radio Galaxy Zoo Talk we regularly find good candidates for just that (radio emission from merging galaxies seems to be much more common than from ordinary spirals or ellipticals).
